Code of Conduct
This Code of Conduct or Code of Best Practices of ZBM PATENTS, S.L. (hereinafter, “ZBM”) establishes the set of principles and behavioral guidelines that must govern ZBM, with the aim of consolidating a corporate ethical framework.
This Code of Conduct (hereinafter, the “Code”) reflects ZBM’s commitment to transparency and business ethics in all areas of operation, establishing a set of principles and conduct guidelines aimed at ensuring the ethical and responsible behavior of the professionals who make up ZBM in the performance of their activities, while also complying with the criminal prevention obligations imposed by applicable law.
Scope of Application
This Code is addressed to both executives and all employees of ZBM, establishing a common framework of principles, values, and behavioral standards that must be observed by everyone within the organization. The creation of a code of conduct is essential for ZBM, as it helps define and consolidate an organizational culture based on integrity, respect, and responsibility, facilitating coexistence and collaboration in the workplace. This instrument not only prevents inappropriate behavior but also promotes transparency and trust, which are essential for sustainable development and ZBM’s reputation.
In terms of its impact, this Code entails for executives and managers the responsibility to lead by example, ensuring compliance with the rules and fostering an ethical and safe work environment. They must also ensure the proper implementation of the Code and serve as role models in conflict resolution and in decision-making aligned with ZBM’s values. For ZBM professionals, this Code provides a clear guide on expected behavior, ensuring equal treatment, protection against harassment or discrimination, and access to reporting and protection mechanisms. In this way, it strengthens the collective commitment to ethics and well-being in the workplace.
Regardless of the contractual arrangement that defines their engagement, hierarchical or functional position, or the group company or location where they perform their duties, all of them shall be referred to, for the purposes of this Code, as “Professionals.”
Compliance with this Code is understood without prejudice to the obligations imposed by ZBM’s rules and by other general or sector-specific regulations derived from applicable law.
Compliance
ZBM Professionals are required to comply with the provisions of this Code, respecting the principles, values, and behavioral standards it establishes.
Professionals, and in particular those who supervise other ZBM employees, shall use all means at their disposal to ensure compliance with the Code, leading by their own example in daily ethical and integrity-based conduct.
Communication, Dissemination, and Commitment
ZBM will communicate and disseminate this Code among all Professionals, making it available through the usual internal communication channels used by the organization.
Professionals are bound by this Code and assume responsibility for its compliance.
- In the case of newly appointed employees at ZBM, the commitment to comply will be expressly included in the contractual clauses of the Professionals, and the Human Resources Department will duly inform them.
- When updates to the Code are made, ZBM will promote their dissemination and training, retaining reasonable evidence of awareness of the Code and, where applicable, of the renewal of the commitment to comply by the Professionals.
Additionally, to a reasonable extent and in accordance with applicable regulations, ZBM will promote awareness of this Code among individuals and entities with which it maintains professional or commercial relationships, whenever this is relevant given the nature of such relationships. In any case, the Code is publicly accessible via ZBM’s website and is available to anyone who requests it.
