Compliance with this code: Control Bodies
The principles and guidelines contained in this Code are mandatory for all ZBM Professionals. The organization has an Internal Whistleblowing and Reporting System Policy that regulates the registration, admission, investigation, and conclusion of reports regarding alleged irregularities or breaches received through ZBM’s Ethical Channel.
The Ethical Channel is accessible via the corporate website www.zbm-patents.eu and may be used by anyone aware of potential serious administrative and/or criminal violations attributable to individuals or ZBM entities within the Group in their professional capacity. The company has a Compliance Officer responsible for supervising and ensuring regulatory compliance, implementing internal policies and controls, managing legal and reputational risks, and serving as a point of reference for managing potential breaches. The Ethical Channel ensures privacy protection for involved individuals and confidentiality of the data contained in the communication, allowing anonymous reports if the reporter wishes. This function strengthens the compliance culture within the organization and ensures proper prevention, detection, and management of any incident in accordance with applicable regulations.
Having a dedicated and accessible channel for communication with the control body is essential to preventing crimes, as it facilitates the receipt of complaints, inquiries, or alerts regarding possible irregular conduct. This channel guarantees confidentiality, traceability, and timely action in situations that may pose risks to organizational integrity and regulatory compliance, thereby promoting a safe work environment aligned with ethical and legal principles.
The identity of the whistleblower is considered confidential, and no direct or indirect disciplinary measures may be taken against them for reporting.
The Control Body will review and resolve received complaints and inquiries, giving each case the treatment deemed appropriate, acting with full independence and respect for affected individuals, and ensuring confidentiality at all times in handling the reports and inquiries.
Non-compliance with this Code may lead to offenses under applicable law. In such cases, the violation and, where appropriate, proposed sanction will be submitted to ZBM’s Human Resources Department for the application of measures as applicable, in accordance with the law, the relevant collective bargaining agreement, and ZBM internal regulations.
